Terms of Service

These Terms of Service ("Terms") govern your access to and use of www.bsfdirectory.com and all related services (the "Site"). By accessing the Site, creating an account, or subscribing to a paid plan, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. The service

BSF Directory is a B2B online directory connecting producers, suppliers, buyers, and other participants in the global Black Soldier Fly industry. The Site allows users to:

• Browse and search company listings.
• Create and claim company profiles.
• Send and receive inquiries.
• Subscribe to paid plans for enhanced visibility and features.
• Access industry knowledge content.

2. Eligibility and accounts

You must be at least 18 years old and act on behalf of a legitimate business or organisation to use the Site. By creating an account, you confirm that:

• The information you provide is accurate and up to date.
• You will keep your login credentials confidential.
• You are responsible for all activity under your account, including any company listings you claim.

We may suspend or terminate accounts that violate these Terms, submit false information, or engage in fraudulent or abusive behaviour.

3. Company listings

3.1 Auto-generated listings

We may create company listings using publicly available business information to maintain a comprehensive industry directory. If you are an authorised representative of a listed company, you can claim the profile, request edits, or request removal.

3.2 Claimed and user-created listings

When you claim or create a company listing, you represent that:

• You are authorised to act on behalf of the company.
• The information you submit is accurate, lawful, and not misleading.
• You hold all necessary rights to upload logos, photos, documents, videos, and other content.
• Your listing does not infringe third-party intellectual property, privacy, or contractual rights.

3.3 Edits and removal

We reserve the right to edit, suspend, or remove listings that breach these Terms, applicable law, or that contain inaccurate, misleading, or inappropriate content. Listing owners can request removal at any time by emailing info@bsfdirectory.com.

4. Subscription plans and payments

4.1 Plans

The features and pricing of each plan are described on the Pricing page, which forms part of these Terms. We may update plan features and pricing with reasonable notice.

4.2 Billing

Paid subscriptions are billed in advance through our payment provider. Prices are displayed in EUR and exclude applicable taxes, which will be added at checkout where required. All payments are non-refundable except where required by applicable law.

4.3 Free trial

Where a free trial is offered, the subscription will activate at the end of the trial period unless cancelled. You can cancel at any time during the trial.

4.4 Cancellation

You can cancel your subscription at any time from your account settings. Cancellations take effect at the end of the current billing period. We do not provide pro-rata refunds for the unused portion of a billing period.

4.5 Failed payments

If a payment fails, your subscription may be suspended after retry attempts and your listing may revert to the free tier until payment is updated.

5. Acceptable use

You agree not to:

• Use the Site for any unlawful or fraudulent purpose.
• Submit false, misleading, defamatory, or infringing content.
• Send unsolicited commercial messages through inquiry forms or contact channels.
• Scrape, harvest, or systematically extract data from the Site without our prior written consent.
• Attempt to gain unauthorised access to other accounts, listings, servers, or networks.
• Reverse engineer, decompile, or interfere with the Site or any of its features.
• Use the Site to compete unfairly, including replicating it or redistributing its content.

6. Inquiries and supplier communications

When you submit an inquiry through a paid listing, your contact details and message are sent to that supplier so they can respond. We are not a party to the resulting business relationship and are not responsible for the accuracy of supplier responses, transactions, or fulfilment.

Suppliers receiving inquiries agree to:

• Respond professionally and lawfully.
• Not use buyer contact details for unrelated marketing.
• Comply with applicable data protection laws.

7. Intellectual property

7.1 Our content

All Site design, code, logos, copy (excluding user-submitted content), and software are owned by BSF Directory or its licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written permission.

7.2 User content

You retain ownership of the content you upload. By submitting content, you grant BSF Directory a worldwide, non-exclusive, royalty-free licence to host, display, reproduce, and distribute that content as needed to operate the Site, for as long as your listing remains active.

7.3 Knowledge content

Articles, guides, and editorial content published by BSF Directory are provided for informational purposes only and do not constitute professional, legal, or regulatory advice. Always consult qualified experts before making business decisions.

8. Disclaimers

The Site is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability.

We do not verify the legal status, financial standing, or business practices of every listed company. Buyers should perform their own due diligence before transacting.

9. Limitation of liability

To the maximum extent permitted by law, BSF Directory will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of the Site.

Our total aggregate liability to you under these Terms will not exceed the greater of (a) the amount paid by you to BSF Directory in the 12 months preceding the event giving rise to the claim or (b) one hundred euros (€100).

Nothing in these Terms excludes liability for death, personal injury caused by negligence, fraud, or any other liability that cannot lawfully be excluded.

10. Indemnity

You agree to indemnify and hold harmless BSF Directory and its team from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising from your use of the Site, your content, or your breach of these Terms.

11. Termination

You may close your account at any time by emailing info@bsfdirectory.com. We may suspend or terminate your access for breach of these Terms, fraudulent activity, or as required by law. Termination does not relieve outstanding obligations to pay fees already accrued.

12. Modifications

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Material changes will be communicated via email or a notice on the Site at least 14 days before they take effect. Continued use after changes constitutes acceptance.

13. Governing law and disputes

These Terms are governed by Spanish law, without regard to conflict of laws principles. Any dispute arising under these Terms will be submitted to the exclusive jurisdiction of the competent courts of Madrid, Spain, except where mandatory consumer protection laws provide otherwise.

14. Miscellaneous

• Severability: if any provision is held invalid, the remaining provisions remain in full force.
• Entire agreement: these Terms, together with the Privacy Policy and the Pricing page, constitute the full agreement between you and BSF Directory.
• No waiver: failure to enforce any provision is not a waiver of that provision.
• Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
